These Terms of Service (
1. Signed agreements come first
Every project is set out in a written proposal or agreement, usually signed through PandaDoc (the
2. Quotes and scope
Quotes are valid for 14 days unless they state otherwise.
The scope of work, deliverables, number of revisions and deadlines are those written in the Project Agreement.
Anything outside that scope, including new footage, new versions, formats or changes to an approved brief, is a change request. I will quote it separately and may decline it.
3. Fees and payment
Work starts only after the agreed deposit has been received. The deposit secures my time and is non-refundable once work has started.
The remaining balance is due before final delivery. Final full-resolution, unwatermarked files are released only after payment in full.
Invoices are payable within the period and in the currency stated on them. You pay all bank, transfer, currency-conversion and platform fees, and any taxes or duties in your country, so that I receive the full invoiced amount.
If a payment is late, I may pause work, move your deadlines, withhold deliverables and charge any late fee set out in the Project Agreement until the account is settled.
4. Timelines and your responsibilities
Deadlines depend on receiving footage, assets, information and feedback on time. Delays on your side move the schedule accordingly.
If a project is left without a response from you for 30 days, I may close it and invoice for the work completed so far. Restarting it may be quoted as a new project.
You are responsible for checking and approving the final work, including spelling, names, figures, claims and legal or platform compliance, before publishing it.
5. Revisions and approval
Each project includes the revision rounds stated in the Project Agreement. Please send feedback for each round in one consolidated list.
Extra rounds, and changes requested after a version has been approved, are charged as additional work.
A deliverable is treated as approved if you publish or use it, or if you don’t request changes within 7 days of delivery.
6. Your materials
You confirm that you own, or have all the licences and permissions needed for, everything you give me, including footage, music, images, logos, trademarks and the likeness of anyone who appears. You agree to indemnify and hold me harmless from any claims, losses or costs arising from your materials, from content you ask me to include, or from how you use the finished work.
7. Ownership and licence
Until I have been paid in full, all rights in the work remain with me and you may not publish or use it.
Once paid in full, you receive the rights to the final deliverables described in the Project Agreement.
I keep all rights in my own methods, templates, presets, graphics libraries and know-how. Project files and raw working files are not included in the deliverables unless the Project Agreement says so, and may be supplied for an extra fee.
Stock music, footage, fonts and other third-party assets are licensed on their own terms. You are responsible for licences that must be held in your name.
8. Portfolio use and confidentiality
Unless a signed agreement or NDA says otherwise, I may show the finished work, or excerpts from it, on my website, portfolio and social media, and name you as a client. I keep confidential any non-public information you share and use it only for your project.
9. Cancellation and termination
You may cancel a project by written notice. You will pay for all work completed up to that date, and the deposit is not refunded.
I may end a project immediately if payment is overdue, if you breach these Terms or the Project Agreement, or if communication becomes abusive. In that case you pay for the work completed.
10. Delivery and file storage
Deliverables are sent through online file-sharing links. I keep footage and project files for up to 30 days after final delivery, unless agreed otherwise, and I am not responsible for archiving them beyond that. Re-delivery or retrieval after that period may be charged.
11. No guarantee of results
I provide my services with professional care, but I cannot guarantee views, engagement, followers, sales, monetisation, or approval or ranking by any platform or algorithm. Apart from what is expressly promised in the Project Agreement, the services and this website are provided
12. Limitation of liability
To the fullest extent permitted by law, my total liability for any claim related to a project is limited to the fees you actually paid me for that project. I am not liable for any indirect, incidental or consequential loss, including lost profits, revenue, data, opportunity or reputation, account restrictions or takedowns, or delays caused by third-party services.
13. Independent contractor
I work as an independent contractor. Nothing in these Terms creates employment, partnership or agency. I decide how, when and with which tools the work is done, within the agreed scope and deadlines.
14. Events beyond my control
I am not responsible for delays or failures caused by events outside my reasonable control, such as illness, power or internet outages, hardware failure, natural disasters or service outages. Deadlines will be extended for the length of the disruption.
15. Governing law and disputes
These Terms and any Project Agreement that does not state otherwise are governed by the laws of India.
Before taking any formal step, we will try in good faith to settle any dispute within 30 days of written notice.
Any dispute that is not settled will be finally resolved by arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated in India, in English. Hearings may be held online. Arbitral awards can be enforced in most countries.
Nothing here stops me from seeking urgent relief, or recovering unpaid fees, in any court with jurisdiction, including the courts of the country where you are based.
16. General
If any part of these Terms is found unenforceable, the rest stays in effect. Not enforcing a right right away does not waive it. I may update these Terms from time to time; the version in force when a Project Agreement is signed applies to that project.
